a Visitor clicks the pasted HTML code (“Link”)

of the Seller or and (ii) when the Affiliate sold a product from the Seller. The commission solely depends on the amount set by the Seller. Thus, the seller possesses the obligation to be mindful on the rate set. gets 7.5% of each successful transaction.

Term and Termination

The term of this Agreement (the “Term”) will begin as the Seller accepts you as their Affiliate as well as your acceptance of this agreement and will end when terminated as described herein., the Affiliate or the Seller may terminate this Affiliate Agreement anytime with or without a cause, by giving the other party at least seven (7) days written notice of termination. The Affiliate is eligible to earn commission on sales occurring during the Term, and commissions earned through the date of termination will remain payable only if the product or orders are not cancelled. However, DroneCentre and the Seller may withhold the final payment for a reasonable time to ensure against cancellation of orders. and the Seller compensate the Affiliate, in accordance with this Agreement and the Program Payout specifications.

1.Participation in Programs

a. Acceptance by and the Seller During this Agreement You may apply to DroneCentre Affiliate Program for an opportunity to earn Payout by promoting a Seller and successfully selling the products of the Seller. Once the Seller approves your application you may display links to to your website and market the Seller’s drone products and services.

b.Program Terms The Seller and define transactions qualifying for Payout. The Seller may change any Payout rate upon no less than 7 days written notice that will take effect from the 8th day (or such later day that is specified by the company). will get 7.5% from every successful transaction made by the seller and/or affiliate.

c.Additional Terms The Seller and the Affiliate may enter into direct contractual relationship through a click-through agreement. The Affiliate has the obligation to review and to accept or decline such agreement when it is presented to you.

d.Non-Bona fide Transactions You shall not cause any Transactions to be made that are in bad faith, including, but not limited to, using device, robot, Iframes or hidden frames and program. Multiple leads from the same individual, entity or IP address may be considered as a non-bona fide Transactions. Thus, you shall not earn any Payouts for a non-bona fide Transaction.

2.Affiliate Obligations to

a. Accurate and Up-to-Date Information You agree to provide and the Seller with accurate information about You and your promotional methods, and to maintain an up-to-date account information, such as contact information, website used, etc.

b.Use of Links You warrant that all promotional means used by you will not contain any objectionable content including, but not limited to contents that are libellous, misleading, obscene, defamatory, violent, illegal, and/or promoting illegal goods, services or activities.

By clicking the “Accept” button you hereby agree to:

(i) use ethical and legal business practices, (ii) comply with User Agreement and this Agreement, (iii) maintain a privacy policy on your Web site made available to Visitors. and the Seller must approve all your promotional activities and may deem Your promotional activities inappropriate and a material breach of this Agreement in discretion.

c.Promotional Methods You represent and warrant that you will not engage in and/or facilitate any spamming, indiscriminate advertising or unsolicited commercial email or otherwise fail to comply with the CAN SPAM Act of 2003 (Public Law 108-187 or any successor legislation), and/or any other laws and/ or regulations that govern email marketing and/or communications. You represent and warrant that you will not post links or promote in unlawful websites including but not limited to porn sites, gambling sites, etc.

d.Identifiable Information of Visitors You warrant that you will not enable the Tracking Code to collect personally identifiable information from the Visitors.

e.Privacy You must post Your privacy policy on your website and made it available to all Visitors. Your privacy policy must adhere with all laws and regulations regarding the privacy of all your Visitors.

f.Applicable Codes and Code Maintenance

The Affiliate must include and maintain a “Tracking Code” to record the tracking of Visitors’ Transactions

resulting from clicks on the Links found on Your Web site.

g.Usage and Security of Account You are responsible for all the usage, security, and activity of Your account and for loss, theft or unauthorized disclosure of your password. You shall provide a written notification of any known or suspected unauthorized use or access of Your Account.

4. Services

a. Tracking Transactions and Payouts and the Seller will determine the actual Payouts that should be credited to Your Account. and the Seller has the sole discretion to apply an estimated amount of Payouts, if: (i) you are referring Visitors to your Web site as verified by clicks through Links with Tracking Code, (ii) where there is an error in transmission of Tracking code data.

b.Charge-backs and the Seller may apply a debit to Your Account in an amount equal to the Payout that is previously credited to Your Account in circumstances of the following: (i) product returns; (ii) duplicate entry or there is clear error; (iii) non-bonafide Transactions; (iv) Affiliate’s failure to comply with terms of agreement.

c.Access to Tracking and Reporting Tools will provide you access to tracking and reporting tools. Moreover, from time to time may offer optional services for a free. The Tracking Detail regarding Visitor Transactions is not available on a real-time basis and there may be reporting delays regarding the Transactions of the Visitors.

d.Affiliate Support If you have any concerns regarding our services, you may reach use through the “Contact Us” area of

e.Facilitating Payment of Payouts Subject to other provisions in this Affiliate Agreement, shall credit Your Account with a Payout for each qualifying Transaction in accordance with Payout rate relevant to the Transaction. Credits earned for every successful transaction will automatically reflect to your account. However, an Affiliate cannot withdraw money under $100. Withdrawal of $100 or more will take one week to process.

Dormant Accounts

If the Affiliate’s Account has not been credited with a valid compensable

Transaction for a six consecutive calendar month period your account shall be deactivated. Transactions will not be counted if the Transaction subsequently becomes a Charge-back.

5. Representations, Warranties, Disclaimers and Limitations a. Business Operations, the Affiliate and the Seller will make reasonable commercial efforts to keep the Web site operational during the normal business hours. However, the parties may agree that it is normal to have system downtime and agree not to hold each other liable for any of the consequences of such interruptions. may modify the Network Service or discontinue providing the Network Service, or any portion thereof at any time. b.
